These Terms of Service (“Terms”) govern your access to and use of nxpa.io, the Nxpa application, and any related services (collectively, the “Service”), operated by Willow Project Limited, trading as Nxpa (“we”, “us”, “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.
Service Description
Nxpa is a review engine for creative teams. It provides tools for uploading, organising, reviewing, annotating, approving, and exporting creative assets such as photographs and images.
Account Registration
To use the Service, you must create an account with a valid email address and password. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at [email protected] if you suspect any unauthorised use of your account.
Teams and Collaboration
You may create or join teams within the Service. Team administrators are responsible for managing team membership, including inviting and removing members. When you invite someone to a team, we will send them an email invitation on your behalf. You represent that you have the right to invite each person you add to a team.
Your Content
You retain full ownership of all images, files, comments, annotations, and other content you upload or create through the Service (“Your Content”). By uploading content, you grant us a limited licence to store, process, display, and transmit Your Content solely to provide the Service — for example, generating thumbnails, applying watermarks during export, or delivering files to your team members and share link recipients.
You are responsible for ensuring you have the necessary rights to upload and share any content through the Service. You must not upload content that infringes on the intellectual property rights of others.
Share Links
The Service allows you to create share links that give others access to view or interact with albums without requiring an account. You are responsible for managing share link permissions and expiry dates. Anyone with a valid share link can access the shared content according to the permissions you set.
Prohibited Content
The Service must not be used to store, share, or distribute sexually explicit material, pornographic content, or nudity. This includes but is not limited to explicit photographs, digitally generated imagery, and any content depicting the sexual exploitation of minors. We reserve the right to remove such content without notice and to immediately terminate the accounts of any users who violate this policy. Violations involving minors will be reported to the relevant authorities.
Acceptable Use
You agree not to:
- Upload content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
- Submit false, misleading, or fraudulent information
- Attempt to disrupt, overload, or interfere with the operation of the Service
- Use automated tools, bots, or scrapers to access the Service without our written permission
- Attempt to gain unauthorised access to any part of the Service or its underlying systems
- Use the Service to store or distribute malware, viruses, or other harmful code
Payment and Subscriptions
Certain features of the Service require a paid subscription. Subscription fees are billed in advance on a monthly or yearly basis. All fees are non-refundable except where required by law.
You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. We reserve the right to change our pricing with reasonable notice.
Storage and Limits
Each subscription tier includes a specified amount of storage and team member seats. If you exceed your plan’s limits, you may need to upgrade to continue using certain features. We reserve the right to enforce storage and usage limits.
Intellectual Property
All content, design, graphics, code, and other materials that form part of the Service (excluding Your Content) are owned by or licensed to Willow Project Limited and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any part of the Service without our prior written permission.
Data Protection
Where you upload content containing personal data of third parties (such as photographs of individuals), you are the data controller for that content and we act as a data processor on your behalf. You are responsible for ensuring you have a lawful basis to process any personal data you upload. Our processing of your data is described in our Privacy Policy.
Disclaimer of Warranties
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
Limitation of Liability
To the maximum extent permitted by law, Willow Project Limited and its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or in connection with your use of the Service. Our total liability for any claim arising from the Service shall not exceed the amount you have paid us in the twelve months preceding the claim.
Termination
We may suspend or terminate your access to the Service at any time if you violate these Terms or if we reasonably believe your use poses a risk to the Service or other users. You may delete your account at any time by contacting us at [email protected]. Upon termination, your right to use the Service ceases immediately. We may retain certain data as required by law or as described in our Privacy Policy.
Governing Law
These Terms are governed by and construed in accordance with the laws of Ireland. Any disputes arising from or relating to these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of Ireland.
Changes to These Terms
We reserve the right to modify these Terms at any time. When we do, we will revise the “Last updated” date at the top of this page. Your continued use of the Service after any changes constitutes acceptance of the updated Terms.
